1. Introduction

Welcome to NRI Track ("Service", "Platform", "we", "us"). These Terms and Conditions ("Terms") govern your access to and use of the NRI Track mobile application (iOS/Android) and our web-based dashboard at nritrack.com. By registering an account, subscribing, or accessing any part of our Service, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must discontinue using the App and Website immediately.

2. Nature of Service (Disclaimer)

NRI Track is a specialized calculation and logging tool designed to assist individuals in monitoring their physical presence in India for tax residency purposes.

• No Professional Advice: The calculations, status indicators (NRI/Resident), and reports generated by this Platform are for informational purposes only. They do not constitute legal, tax, or financial advice.
• Compliance Scope: Our algorithms are based on the Indian Income Tax Act, 1961 (Section 6) and general FEMA (Foreign Exchange Management Act) guidelines. However, tax laws are complex, subject to amendments, and open to interpretation by authorities.
• User Responsibility: You are solely responsible for the accuracy of the travel dates, flight data, and financial year settings you enter. NRI Track is not liable for any tax penalties, interest, or RNOR status classifications resulting from reliance on the App's data. We strongly recommend verifying your final status with a qualified Chartered Accountant (CA).

3. Account Registration & Security

To use the Service, you must create an account using a valid email address and phone number.

• Eligibility: You must be at least 18 years old to use this Service.
• Security: You are responsible for maintaining the confidentiality of your login credentials (password/OTP). You agree to notify us immediately of any unauthorized use of your account.
• One Account Policy: Accounts are for individual use only. Sharing credentials to bypass subscription limits is strictly prohibited.

4. Subscriptions, Trials & Billing

30-Day Free Trial: We offer a 30-day comprehensive free trial starting immediately upon registration. You will have full access to all premium features (Web & App) during this period. No payment method is required to start the trial.

Subscription & Renewal:

• The service is available for a yearly subscription fee of ₹2300 (inclusive of applicable taxes).
• Your subscription will automatically renew at the end of the billing cycle to ensure continuous data tracking.
• We will send a renewal reminder to your registered email address 7 days prior to the deduction date.

Refund Policy:

• No Refunds: Since we provide a transparent 30-day full-access trial, we do not offer refunds once a payment is processed. Please ensure the Service meets your requirements during the trial period.

5. Family & Dependent Profiles (Add-On Feature)

NRI Track offers an optional Family & Dependent Tracking module enabling primary account holders to manage separate travel histories, residency timelines, and tax compliance calculations for members of their immediate household under a single dashboard.

Eligibility & Subscription Dependency:

• Active Primary Subscription Required: Access to Family Profiles is an exclusive capability reserved for active paid subscribers. If the primary account subscription expires or is cancelled, access to dependent profiles, calculations, and simulation tools will be suspended until the primary account is renewed.
• Slot Limit: A primary account may maintain and track a maximum of up to 5 family member profiles simultaneously.

Add-On Pricing & Passes:

• Single Member Passes: Add-on licenses may be purchased individually at ₹1,499 (1-Year Pass) or ₹3,299 (3-Year Pass).
• Multi-Slot Prepaid Bundles: Users may acquire multi-member slot bundles in a single consolidated transaction:
  • 1-Year Validity Bundles: 2 Slots for ₹2,398 | 3 Slots for ₹3,499.
  • 3-Year Validity Bundles: 2 Slots for ₹5,499 | 3 Slots for ₹7,999.
• Family add-on purchases grant stay tracking licenses for dependents and are billed separately from the primary account subscription.

Prepaid Credit Validity & Expiry:

• Defined Validity Window: Prepaid slot credits must be redeemed to activate a family profile within their designated validity period (1 year or 3 years from the timestamp of purchase).
• Expiration: Unredeemed slot credits that surpass their expiration date will automatically expire and cannot be redeemed, transferred, or refunded.

Permanent Credit Consumption & Non-Restoration Policy:

• Irreversible Credit Redemption: When a prepaid credit or direct pass is utilized to activate a family member profile, that credit is permanently and immediately consumed from the user's credit balance.
• No Restoration on Profile Deletion: If a family profile is deleted, removed, or archived by the user, the consumed credit/pass will NOT be refunded, reinstated, or restored to the account balance. Adding a replacement or new family member will require an available valid credit or a new pass purchase.

Data Isolation & Accuracy:

• Each family profile operates as an isolated compliance entity with independent flight records, passport documentation, Section 6 day counters, and 120-day / 182-day threshold calculations.
• The primary account holder is solely responsible for ensuring the accuracy and veracity of all travel dates and financial parameters entered for dependents.

Credit Ledger & Audit Trail:

• An immutable activity log and credit transaction ledger is permanently maintained within the account, documenting all bundle purchases, credit redemptions, profile activations, deletions, and running credit balances for transparent auditing.

6. User Conduct

You agree not to:

• Use the Platform for any illegal or fraudulent purpose.
• Upload falsified documents (tickets/boarding passes) to the secure storage.
• Attempt to reverse engineer, decompile, or copy the source code of the App or Website.
• Exploit the Referral Program by creating fake accounts.

7. Intellectual Property

All intellectual property rights in the NRI Track Platform, including but not limited to the calculation logic, user interface design, logos, and software code, are the exclusive property of NRI Track. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal tracking purposes only.

8. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms. Specifically, fraudulent use of the Referral Program or sharing account access with multiple users will result in immediate termination without refund.

9. Limitation of Liability

To the fullest extent permitted by law, NRI Track and its owners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of NRI/RNOR status leading to tax liabilities in India for primary or dependent profiles.
• Financial penalties imposed by the Income Tax Department.
• Loss of data due to technical failures or unauthorized access.

10. Indemnification

You agree to defend, indemnify, and hold harmless NRI Track, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service for yourself and your family dependents.
• Your violation of any term of these Terms.
• Any claim that your use of the App caused damage to a third party or tax authority.

11. Service Availability & Maintenance

While we aim for 99.9% uptime, we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Platform, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime.

12. Electronic Communications & Alerts

By creating an account, you consent to receive electronic communications from us, including:

• Critical Alerts: Notifications regarding your 182-day or 120-day threshold status for primary and dependent profiles.
• Administrative Messages: Password resets, billing confirmations, and policy updates.

Warning: Push notifications, SMS, and Emails rely on third-party networks. We are not responsible for delayed or undelivered alerts due to network failure, phone settings (DND mode), or spam filters. You are responsible for manually checking the App regularly.

13. Third-Party Payment Processors

NRI Track uses third-party payment gateways (such as PayU, Razorpay, Stripe, Apple In-App Purchase, or Google Play Billing) to process transactions. We do not store your complete credit card information on our servers. By making a purchase, you agree to be bound by the terms and privacy policies of these third-party payment processors.

14. Data Retention & Deletion

Upon cancellation or termination of your subscription, we may retain your data for a grace period of 90 days to allow for account reactivation. After this period, we reserve the right to permanently delete all travel logs and uploaded documents associated with your account and family profiles to optimize storage. It is your responsibility to export your reports before cancelling.

15. Apple & Google Disclaimer

If you download the App from the Apple App Store or Google Play Store, you acknowledge that:

• These Terms are between you and NRI Track only, not with Apple or Google.
• Apple and Google are not responsible for the App’s content, maintenance, or support.
• You must comply with the applicable third-party terms of agreement (e.g., wireless data service agreement) when using the App.

16. Force Majeure

NRI Track shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond NRI Track's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference), acts of God, pandemics, or government restrictions.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or in connection with these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.

19. Changes to Terms

We may update these Terms from time to time to reflect changes in tax laws, new platform features (such as Family Profiles), or our business practices. We will notify you of any material changes via email or an in-app notification. Continued use of the Service after such changes implies your acceptance of the new Terms.
